Premier Cement holds EGM to approve amalgamation with National Cement and Premier Power
Premier Cement Mills PLC successfully held its Extra-Ordinary General Meeting (EGM) on Wednesday at 2:30pm at City Hall, Agrabad Access Road, Chattogram, under the chairmanship of Mr Mohammad Mustafa Haider, Honourable Chairman of the company.
The meeting was convened following an order passed by the Hon'ble High Court Division of the Supreme Court of Bangladesh dated 24 March 2025 in Company Matter No. 523 of 2025. At the EGM, shareholders unanimously approved the Scheme of Amalgamation involving the merger of Premier Power Generation Limited and National Cement Mills Limited (the "Transferor Companies") with Premier Cement Mills PLC (the "Transferee Company"), in line with Section 228 read with Section 229 of the Companies Act, 1994.
As per the approved scheme, the entire undertakings of the Transferor Companies, as going concerns, will be transferred to and vested in Premier Cement Mills PLC, which will remain the surviving entity.
Honourable Managing Director Mr Mohammed Amirul Haque addressed queries raised by shareholders and elaborated on the objectives and broader implications of the amalgamation.
The meeting was also attended by Honourable Directors Mr Md Alamgir Kabir and Mr Mohammed Ershadul Hoque; Independent Directors Mr Fakhrul Islam and Mr A K M Delwer Hussain, FCMA; Chief Financial Officer Mr Md Selim Reza, FCA; and Company Secretary Kazi Md Shafiqur Rahman.
Special Guest Mr M Shaifur Rahman Mazumdar, FCA, FCMA, Honourable Managing Director of Chittagong Stock Exchange, addressed the gathering and encouraged honest entrepreneurs to enlist their industries to support the broader development of the capital market.
The meeting concluded with a vote of thanks from Honourable Director Mr Md Alamgir Kabir.
