Major Responsibilities of Deputy Company Secretary
- Compliance of Terms of Reference (ToRs) of the Board Committees.
- Behaviour across the company by following ethical codes and anti-corruption rules.
- Ensure compliance with the applicable Codes of Corporate Governance for public sector and listed companies and advise the authority on governance of best practices with regulatory obligations.
- Assist to facilitate improvements in the Bank's Corporate Governance and keep the Board abreast of changes in legal infrastructure, internal policies, and procedures of the Bank.
- Coordinate issuance of notices and circulation of agenda for the Board meetings to the members in time, as per approval of the Chairperson.
- Assist in arranging meetings of the Board of Directors, Sub-Committees (i.e. EC, ACB, BRMC etc.), and other meetings upon the CEO's consent, if required.
- Assist in conducting statutory meetings i.e., Annual General Meeting (AGM)/Extraordinary General Meeting (EGM) and Board Committees within the statutory timelines.
- Prepare statutory reports, maintain registers, and ensure compliance with legal requirements.
- Assist to ensure efficient, timely recording, dissemination of minutes of meetings accordingly.
- Prepare Agenda Books, Memos, Minutes of Board meetings, and extracts for Management, ensuring compliance with all regulatory requirements and completion of necessary corporate filings.
- Coordinate to ensure submission of minutes copies to the regulator (Bangladesh Bank) as per directives.
- Execute the Board of Directors' decisions through follow-ups and collect status updates and periodic reports as mandated by the Board.
- Assist in seeking approval from the Directors on urgent matters via circulation of relevant proposals.
- Coordinate to ensure compliance with the regulatory listing/filing requirements from Bangladesh Bank, Bangladesh Security Exchange Commission (BSEC), Stock Exchanges, and RJSC etc.
- Respond to Bangladesh Bank, BSEC, and other regulatory queries as required, by obtaining formal approval and records.
- Work in close coordination with all groups/divisions/departments/units for submission of their agendas for recommendation of sub-committees and approval of the Board of Directors.
- Assist in managing the shares registrar for AGM/EGM.
- Deal with corporate matters of subsidiaries of the Bank, including maintaining profiles/files of the Board of Directors, Directors, Managing Director & CEO.
- Assist to ensure that the Bank's website is updated from time to time with the related information.
- Perform any other duties assigned by the competent authority.
- Stay updated on laws, regulations, and official guidelines, advising the Board/Management and informing Board Members of their duties, responsibilities, and regulatory obligations.
- Act as the focal point for regulatory bodies, auditors, and legal advisors.
- Stay updated on governance trends and enhance professional expertise. Identify and implement improvements in corporate secretarial functions.
- Keep important company records up to date, including lists of shareholders and directors. Manage meetings with shareholders and support them in exercising their rights, including share transfers, dividend payments, and other shareholder matters.
- Assist with IPO application process functions and coordinate with all relevant stakeholders.

- Strong understanding of Bank Company Act, banking laws, and the functions of Company Affairs & Board Secretariat.
- Comprehensive knowledge of Corporate Governance, Legal Framework, Financial Statements, and Regulatory requirements such as regulations of Bangladesh Bank, BSEC, Stock Exchanges, and RJSC etc.
- Minimum 12 years of work experience in banking, financial sector, multinational, or large corporate organisation with at least 3 years in a secretarial role under Company Affairs, Board Secretariat, or Share Division.
Qualifications and Certifications
- Master's degree (or equivalent) from a reputed public university or UGC-approved/recognised private university in:
- Accounting
- Finance or Economics
- Business Administration
- Marketing or Management
- Chartered Secretary (CS) qualified candidates, MBA from IBA, or postgraduate degree/diploma in relevant industry skill-based certification(s) are highly appreciated.
- No third division/class in any academic record is allowed.
