To further strengthen its corporate governance and ensure strict adherence to regulatory requirements, the Bank is seeking a highly competent and dynamic professional for the position of Company Secretary.
Position: Company Secretary (VP & above)
Job Responsibilities:
- Ensure full compliance with the Companies Act, Bank Company Act, and other applicable regulatory frameworks
- Manage all corporate governance matters and advise the Board of Directors and Management on compliance issues
- Act as a liaison between the Bank and regulatory bodies (e.g., Bangladesh Bank, RJSC, BSEC)
- Organise Board meetings, Annual General Meetings, and committee meetings; ensure timely preparation and circulation of agendas and minutes
- Supervise the Company Secretariat team to ensure proper documentation and communication of Board decisions
- Maintain all statutory registers, records, and filings as per regulatory requirements
- Ensure timely submission of statutory reports, disclosures, and returns to relevant authorities
- Manage shareholder relations, including dividend distribution, share-related matters, and investor communications
- Provide legal and regulatory advice on corporate matters, contracts, and disclosures
- Ensure timely preparation and publication of the Annual Report and other compliance reports
Educational Requirements: A graduate or post-graduate degree in Law, Business Administration, or a related field is required. Professional certification as a Chartered Secretary or an equivalent qualification will be considered an added advantage. Membership status such as Fellow Chartered Secretary (FCS) will be regarded as a further distinction.
Experience Requirements: Minimum 10 years of relevant experience, preferably in legal affairs, corporate governance, or company secretarial functions in a bank or financial institution, including at least 3 years in a leadership role.
Additional Requirements:
- In-depth knowledge of the Companies Act, Banking Companies Act, BSEC rules, and other relevant laws
- Strong understanding of corporate laws, central bank regulations, and corporate governance practices
- Ability to work with senior stakeholders and regulatory bodies with professionalism and integrity
